We focus on precision and security. The Terms detail our responsibilities regarding data protection, service availability, and changes to the platform. By sounding experienced and favoring clean, readable phrasing, we ensure the legal agreement is as straightforward as the service itself.

1. Use of the Service

1.1 Service Access

We grant you a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. You agree not to use the Service in a way that violates any laws, infringes on anyone's rights, or interferes with the Service.

1.2 User Accounts and Responsibility

You must provide accurate and complete information when registering for an account. 2. User Content and Data Ownership

As affirmed in the Core Principles, you retain all rights, title, and interest in and to your data and content ("User Content").

2.2 License to Humanly

You grant Humanly a worldwide, non-exclusive, royalty-free, limited license to access, use, process, copy, modify, and display the User Content solely as necessary to: (a) provide, maintain, and improve the Service; (b) comply with any legal obligation; and (c) enforce these Terms.

2.3 Data Security

We will implement and maintain commercially reasonable and appropriate technical and organizational security measures designed to protect User Content from unauthorized access, disclosure, or use.

3. Fees, Payment, and Refunds

3.1 Fees

You agree to pay Humanly the fees specified for your subscription plan. All fees are non-cancellable and non-refundable, except as expressly stated in this section or as required by law.

3.2 Billing and Payment

You authorize Humanly to charge your provided payment method on a recurring basis, based on your subscription interval (e.g., monthly or annually). You must keep your billing information current.

3.3 Changes to Fees

Humanly reserves the right to change the fees or introduce new charges upon thirty (30) days' notice to you. Your continued use of the Service after the price change constitutes your agreement to pay the adjusted amount.

4. Term and Termination

4.1 Term

These Terms remain in effect for as long as you use the Service or have an account with Humanly.

4.2 Termination by You

You may stop using the Service and terminate your account at any time.

4.3 Termination by Humanly

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

4.4 Effect of Termination

Upon termination, all licenses granted under these Terms will immediately cease. Sections relating to ownership, disclaimers, liability limits, and governing law will survive termination.

5. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We focus on precision and security, but to the maximum extent permitted by applicable law, Humanly disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Humanly does not warrant that the Service will be uninterrupted, error-free, or completely secure.

6. Limitation of Liability

In no event shall Humanly, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service.

In no event shall Humanly's total cumulative liability exceed the greater of: (a) the amount you paid to Humanly for the Service in the twelve (12) months preceding the claim; or (b) one hundred dollars ($100.00).

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

8. General Provisions

8.1 Entire Agreement

These Terms constitute the entire agreement between you and Humanly regarding the Service and supersede all prior agreements and understandings.
